Terms and Conditions

Welcome to Ionkom! These Terms and Conditions ("Terms") govern your use of our SaaS platform, including our chatbot and geolocation services, and all related tools and features (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.

1. Acceptance of Terms

By creating an account, clicking "I Agree," or otherwise accessing or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any other policies or guidelines referenced herein.

2. Description of Service

Ionkom provides a SaaS platform that enables users to enhance customer engagement through AI-powered chatbots and leverage location-based insights. Our Service includes, but is not limited to:

  • Chatbot Functionality: AI-driven conversational agents designed to answer queries, automate support, guide users. While our chatbots strive for accuracy, please note that AI-generated responses may not always be perfect or complete.

  • Geolocation Services: Tools to collect, analyze, and utilize location data to provide location-based services, track assets, identify geographic trends. Precise geolocation data collection requires explicit user consent.

  • Analytics & Reporting: Features for tracking usage, performance, and deriving insights from data generated within the Service.

  • Integrations: Capabilities to connect with other services, including payment processing via Stripe.

We reserve the right to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice.

3. User Accounts

  • Account Creation: To access and use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

  • Account Security: You are solely responsible for maintaining the confidentiality of your account login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to comply with this security obligation.

  • Eligibility: You must be at least 18 years old (or the age of legal majority in your jurisdiction) to use the Service. By using the Service, you represent and warrant that you meet this requirement.

4. Payment Terms (Stripe Integration)

  • Pricing: Our Service is offered on a subscription basis. Current pricing details are available on our website at [Link to your Pricing Page]. We reserve the right to change our pricing at any time upon reasonable notice.

  • Billing: You agree to pay all applicable fees for the Service you select. All payments are processed securely through Stripe, Inc. ("Stripe"). By using our Service and making payments, you acknowledge and agree to be bound by Stripe's Terms of Service, available at https://stripe.com/legal/ssa, and Stripe's Privacy Policy, available at https://stripe.com/legal/privacy-center.

  • Payment Information: We do not directly store your full payment card details. All payment information is securely collected and processed by Stripe. You authorize Stripe to charge your designated payment method for all applicable fees.

  • Refunds & Cancellations: All fees are non-refundable unless otherwise expressly stated in your specific service agreement or as required by applicable law. You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period.

  • Taxes: You are responsible for all taxes associated with your use of the Service, other than taxes based on our net income.

5. Intellectual Property Rights

  • Our Intellectual Property: All content, features, and functionality of the Service, including but not limited to software, designs, text, graphics, logos, and the underlying technology of the chatbots and geolocation features, are and will remain the exclusive property of Ionkom and its licensors.

  • Your Data/Content: As between you and Ionkom, you retain all rights, title, and interest in and to the data and information that you submit to the Service ("Your Data"). You grant Ionkom a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display Your Data solely for the purpose of providing and improving the Service, for research and development, and for creating anonymized or aggregated statistical data.

6. User Conduct and Prohibited Uses

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service in any way that violates any applicable national or international law or regulation.

  • Use the Service for the purpose of exploiting, harming, or attempting to exploit or harm minors in any way.

  • Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Service, or which, as determined by us, may harm Ionkom or users of the Service or expose them to liability.

  • Use the chatbot functionality to generate or disseminate content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.

  • Use the geolocation services to track individuals without their explicit consent, or for any illicit or unethical purpose.

  • Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service, the server on which the Service is stored, or any server, computer, or database connected to the Service.

  • Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.

  • Impersonate or attempt to impersonate Ionkom, a Ionkom employee, another user, or any other person or entity.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. Ionkom HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR PARTICULAR PURPOSE.

WITHOUT LIMITING THE FOREGOING, Ionkom DOES NOT WARRANT THAT THE SERVICE WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT OUR SERVICE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE SERVICE WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS. SPECIFICALLY, WHILE OUR CHATBOTS ARE DESIGNED TO PROVIDE HELPFUL INFORMATION AND ASSISTANCE, Ionkom MAKES NO WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY AI-GENERATED CONTENT OR RESPONSES.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL Ionkom, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICE, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE SERVICE OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION (WHETHER IN CONTRACT, TORT (INCLUDING BUT NOT LIMITED TO NEGLIGENCE), OR OTHERWISE) EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING OR USING THE SERVICE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE DATE OF THE CLAIM.

9. Indemnification

You agree to defend, indemnify, and hold harmless Ionkom, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service, including, but not limited to, Your Data, any use of the Service's content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Service.

10. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or follow the cancellation process in your account settings.

11. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of [Your Country/State, e.g., the laws of Romania, without regard to its conflict of law provisions].
